An Overview of the Final Merchant Banking Rules

Overview For those asset-based lenders who have learned the value of mezzanine financing or other equity participation to support leveraged buyouts, acquisition financings and other highly leveraged transactions, and for those banking organizations that have begun to explore the profit potential of venture capital and other equity-based financing, the federal Gramm-Leach Bliley Act (the "GLB Act"), which became law on November 12, 1999, has opened new opportunities. This paper will briefly summarize the new law and regulation, describe the requirements they impose on merchant banking investments, and discuss briefly how the exercise of new merchant banking powers may affect the secured lending activities of bank holding companies.
