European Merger Control: Do We Need an Efficiency Defence?

Overview The purpose of this paper is to discuss two questions. Should a merger control system and, in particular, the European system of merger control, include an "efficiency defence", i.e. a system allowing to take into account the possible efficiencies from mergers and how should a system be designed to balance the efficiency gains against the anti-competitive effects? To help answer these two questions, the paper starts by explaining the economic and political reasons that justify the introduction of an "efficiency defence" in a merger control policy. Next, the current legislation and practice in the European Union, the United States and Canada is reviewed.
