Making the Road Safe for Certifiers: Sarbanes-Oxley Certification Requirements Raise Difficult Issues

Overview On July 30, 2002, President Bush signed the Sarbanes-Oxley Act of 2002 (the Act), ushering in the most far-reaching reform of corporate governance and accounting practices of public companies since the Depression era. Although the Act does not have as its aim the reform of M&A practice, certain provisions of the Act are likely to affect, in some respects, aspects of M&A practices and procedures. The focus of this paper is the CEO and CFO certification requirements of the Act.
