Internal Control Responsibilities: What Every CEO and CFO Should Know

Overview Canada's securities regulators (other than the B.C. Securities Commission) have released for public comment a proposed internal control rule that would require management of many public companies to prepare an internal control report; and the external auditor to audit and report on internal control over financial reporting. The proposed rule is substantially similar to the U.S. rules under section 404 of the Sarbanes-Oxley Act of 2002 (S-Ox). This paper discusses the internal control-related requirements that will have to be met by a public company in Canada if the proposals are adopted.
