Faster Than the Speed of Light: Section 16 Reporting Under Sarbanes-Oxley

Overview The Sarbanes-Oxley Act of 2002 brings perhaps the most significant - and certainly the most swiftly implemented - amendments to Section 16 of the Securities Exchange Act of 1934 since its inception. By requiring corporate insiders to report potentially any changes in their ownership of company securities within two business days, the Sarbanes-Oxley Act effectively changes the previous monthly reporting requirement to a daily task. This means a complete overhaul of established reporting procedures for any company that assists its corporate insiders by preparing and filing Section 16 forms on their behalf. This white paper discusses how companies should adjust their reporting procedures to ensure compliance with the new filing deadline.
